Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the website located at btsimulations.com, the BT Simulations IBP Portal, and any inquiry forms operated by Business Today Simulations LLC ("BT Simulations," "we," "us," or "our").
By accessing our website, creating an account, submitting an inquiry, or engaging BT Simulations for program delivery, you ("User," "Client," or "Partner") acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms constitute a legally binding agreement between you and Business Today Simulations LLC, registered at 1315 Walnut St. Ste 801, Philadelphia, PA 19107, USA.
Description of Services
Business Today Simulations LLC designs and delivers board-based and digital business simulation training programs. Our programs fall into three primary categories:
- Generic Business Simulations — immersive programs where participants manage a complete virtual enterprise, building cross-functional commercial acumen
- Industry-Specific Simulations — programs tailored to specific sectors including FMCG, banking, manufacturing, healthcare, and distribution
- Executive & Leadership Programs — high-stakes strategic decision-making simulations designed for C-suite and senior leadership audiences
Programs are delivered in-person, virtually, or in hybrid format, globally. Specific program details, durations, participant capacities, and pricing are provided in individual proposals and engagement contracts.
BT Simulations also operates an IBP (Independent Business Partner) Portal for authorized partners to manage and report Completed Course Register (CCR) submissions relating to licensed program deliveries.
User Accounts
Eligibility. The IBP Portal is intended for use by authorized business entities and their designated representatives. By creating an account, you represent that you are at least 18 years of age and are acting on behalf of an organization that has a valid relationship with BT Simulations.
Account accuracy. You agree to provide accurate, complete, and current information during registration and to keep your profile information up to date. BT Simulations reserves the right to suspend or terminate accounts where information is found to be inaccurate, misleading, or incomplete.
Account security. You are solely responsible for maintaining the confidentiality of your login credentials. Accounts are single-user; sharing access credentials with other individuals is prohibited. You agree to notify BT Simulations immediately at info@btsimulations.com if you suspect unauthorized access to your account.
Account suspension. BT Simulations may suspend or terminate accounts at any time, with or without notice, for violations of these Terms or conduct that we determine is harmful to the platform, other users, or our business.
CCR Submissions & Reporting
The Completed Course Register (CCR) system enables IBP Partners to report details of simulation programs delivered under their licensing agreement with BT Simulations.
- You are solely responsible for the accuracy of all data submitted in CCR entries, including client organization names, program details, participant counts, dates, and invoiced amounts.
- Financial figures submitted must accurately reflect actual invoiced amounts for the corresponding program delivery. Overstating or understating amounts for the purpose of altering royalty calculations constitutes fraud and is grounds for immediate account termination.
- BT Simulations reserves the right to audit any CCR submission at any time and may request supporting documentation to verify reported data.
- Corrections to submitted CCR data must be requested by contacting your BT Simulations account manager or emailing info@btsimulations.com.
- CCR data and associated financial records are retained for a minimum of seven (7) years for audit and compliance purposes.
Intellectual Property
All simulation programs, board game designs, facilitation guides, workbooks, digital tools, training materials, frameworks, methodologies, and related content are the exclusive intellectual property of Business Today Simulations LLC or its licensors, and are protected by copyright, trademark, and other applicable laws.
- You may not reproduce, copy, modify, translate, adapt, distribute, sell, resell, sublicense, or create derivative works based on any BT Simulations materials without prior written consent.
- Client organizations that engage BT Simulations for a training program receive a limited, non-exclusive, non-transferable license to use the program materials solely for internal training purposes during the contracted engagement period.
- IBP Partners may reference BT Simulations program names and descriptions in their marketing activities only to the extent permitted by their individual IBP Agreement. Unauthorized use of BT Simulations' trademarks or branding is prohibited.
- Any feedback, suggestions, or ideas submitted to BT Simulations regarding our programs or services may be used by us freely without compensation or attribution.
The BT Simulations name, logo, and all related marks are trademarks of Business Today Simulations LLC.
Payment & Billing
Program fees. Fees for simulation program delivery are quoted on a per-engagement basis and are detailed in the proposal or Statement of Work provided to the client. Payment terms are as specified in each individual contract or invoice.
Royalties & commissions. Where applicable under an IBP Agreement, royalty percentages and commission structures are governed exclusively by the terms of that individual agreement. The default royalty rate shown within the portal (currently 20%) is a system default and may be varied by written agreement between BT Simulations and the IBP Partner.
Late payment. Invoices not paid by the due date may be subject to late payment fees as stated in the applicable invoice or contract. BT Simulations reserves the right to suspend portal access or future program deliveries for accounts with outstanding overdue balances.
Taxes. All fees are exclusive of applicable sales tax, VAT, GST, or other applicable taxes, which are the responsibility of the client or partner unless otherwise stated in the contract.
Limitation of Liability
No guarantee of outcomes. BT Simulations programs are designed to improve business acumen, commercial thinking, and leadership decision-making. However, we make no guarantee regarding specific individual or organizational performance improvements resulting from program participation. Learning outcomes vary based on participant engagement, organizational context, and other factors beyond our control.
Limitation of damages. To the maximum extent permitted by applicable law, BT Simulations shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, profits, data, or business opportunities — arising from or in connection with your use of our services, even if we have been advised of the possibility of such damages.
Maximum liability. In all cases, BT Simulations' total cumulative liability to you for any claim arising from or related to a specific program engagement shall not exceed the total fees paid by you to BT Simulations for that specific engagement.
Force majeure. BT Simulations shall not be liable for any failure or delay in performance of its obligations caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, strikes, or telecommunications failures. We will make reasonable efforts to reschedule affected programs.
Acceptable Use of the Portal
By using the BT Simulations IBP Portal, you agree that you will not:
- Attempt to gain unauthorized access to any part of the portal, other users' accounts, or BT Simulations' servers or infrastructure
- Use automated tools, bots, scrapers, or scripts to extract data from the portal
- Upload, submit, or transmit any malicious code, viruses, or other harmful software
- Interfere with or disrupt the normal operation or security of the portal
- Use the portal for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to reverse engineer, decompile, or disassemble any part of the portal
- Share your login credentials with or allow access by any third party
- Submit false, misleading, or fraudulent CCR data
Violations of this section may result in immediate account termination and may be reported to relevant law enforcement authorities.
Program Cancellation & Modifications
Client cancellations. Cancellation terms for individual program engagements are outlined in the applicable contract or proposal. Cancellation fees may apply depending on the notice period provided prior to the scheduled program date.
Rescheduling. Requests to reschedule a confirmed program should be submitted as early as possible to your BT Simulations account manager. BT Simulations will make reasonable efforts to accommodate rescheduling requests, subject to facilitator and resource availability.
BT Simulations modifications. We reserve the right to modify, update, or discontinue any program offering at any time. Where a confirmed engagement is affected by a program modification, we will notify the client and work to provide a suitable alternative.
Force majeure cancellations. If a program must be cancelled due to circumstances beyond our reasonable control (e.g., natural disaster, pandemic, facilitator illness), BT Simulations will endeavour to reschedule without penalty. A full refund may be offered where rescheduling is not feasible.
Governing Law & Dispute Resolution
Governing law. These Terms and any dispute or claim arising from or in connection with them shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.
Dispute resolution. In the event of a dispute arising from these Terms or your use of BT Simulations services, the parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this process by sending written notice of the dispute to the other party.
Arbitration. If a dispute cannot be resolved through negotiation within thirty (30) days of written notice, it shall be resolved through binding arbitration administered in Philadelphia, Pennsylvania, in accordance with the rules of the American Arbitration Association (AAA). The decision of the arbitrator shall be final and binding on both parties.
Class action waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Exceptions. Nothing in this section prevents either party from seeking immediate injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
Changes to These Terms
BT Simulations reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page. For registered portal users, we will also send an email notification to the address on file.
Your continued use of the BT Simulations website, IBP Portal, or services after any such changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
If you do not agree with any updated Terms, you should discontinue use of our services and contact us to close your account.
